Job description	: One of the leading manufacturing company having presence in Energy, Infrastructure, Petrochemicals, Aviation etc is looking for Head legal. Company's group turnover is more than 50000 corers and having employee strenght of more than 40000. Candidate mustbe having expereince of more than 18 years of expereince from reputed companies at senior level. Should be good at Man management and should be able to lead a large team. Candidate should hold a masters in law from a reputed institution. No barrier in location of the candidate but should be prepared to relolocate to Mumbai. Job profile is · Responsible for handling the Mergers and Acquisition department in the Corporate Legal team · Ensuring that the Group’s interests are protected comprehensively from a legal perspective during a M&A transaction · Advice/Opine on structuring of transactions to draw synergies and benefits from a cost/operating perspective · Handle pre / post M & A related litigation · Build and Maintain strong relationships with relevant regulatory authorities and bodies like SEBI, Competition Commission of India and others. · Strengthen and build Group’s relationship with concerned law firms and other professional services firms · Evolve standard systems and processes for negotiating, reviewing, drafting and vetting of legaldocuments, cross border agreements& contracts, MOUs. w.r.t M&A · Conduct legal due diligence, the subsequent drafting of share purchase agreements, share subscription agreements, and shareholder agreements · Draft and review of term-sheet, definitive agreement, non-compete agreement, non-disclosure agreement · Advice on securities and corporate law issues related to corporate law requirements, takeover code and other securities law issues, listing andregulatory requirements, government approvals statutory filings · Conduct corporate due diligence and draft due diligence reports envisaging the risk factors · Draft, vet, review and negotiate various documents pertaining to mergers and acquisitions, private equity deals and foreign investments including but not limited to Business Transfer Agreement, Asset Purchase Agreements, Shareholders Agreement, Share Purchase/ Share Subscription Agreements, Escrow Agreements, Non-Disclosure Agreements, Assignment and Assumption Agreements, Contract Negotiations, Technology Transfer Agreements. Budgeted CTC for the candidate is 50 lakhs to 70 lakhs p.a.
