Job description : Key Result Areas (Key Performance Indicators)  Drafting & negotiating contract  Supervision of legal matters.  Loans Documentations.  Branding Documentation Critical Tasks • Responsible for handling the Mergers and Acquisition department in the Corporate Legal team • Ensuring that the Group’s interests are protected comprehensively from a legal perspective during a M&A transaction • Advice/Opine on structuring of transactions to draw synergies and benefits from a cost/operating perspective • Handle pre / post M & A related litigation • Build and Maintain strong relationships with relevant regulatory authorities and bodies like SEBI, Competition Commission of India and others. • Strengthen and build Group’s relationship with concerned law firms and other professional services firms • Evolve standard systems and processes for negotiating, reviewing, drafting and vetting of legal documents, cross border agreements & contracts, MOUs. w.r.t M&A • Conduct legal due diligence, the subsequent drafting of share purchase agreements, share subscription agreements, and shareholder agreements • Draft and review of term-sheet, definitive agreement, non-compete agreement, non-disclosure agreement • Advice on securities and corporate law issues related to corporate law requirements, takeover code and other securities law issues, listing and regulatory requirements, government approvals statutory filings • Conduct corporate due diligence and draft due diligence reports envisaging the risk factors • Draft, vet, review and negotiate various documents pertaining to mergers and acquisitions, private equity deals and foreign investments including but not limited to Business Transfer Agreement, Asset Purchase Agreements, Shareholders Agreement, Share Purchase/ Share Subscription Agreements, Escrow Agreements, Non-Disclosure Agreements, Assignment and Assumption Agreements, Contract Negotiations, Technology Transfer Agreements. • Build and manage a team Decision making authority (Decisions expected) Educational Background and Work Experience Educational Background :  LLB/LLM from reputed university Work Experience :  12– 15 years of post-qualification experience.  Deep understanding of the corporate laws, security laws and rules, FEMA and other relevant and Acts and Statutes affecting M&A  Experience of handling domestic and international M&As
